  12. Software Evaluation License Agreement
  13.  
  14. By using this software, "ImageVice(tm)", the you indicate agreement to the
  15. following terms and conditions, which constitute a legal and binding
  16. contract between you, the user, and BoxTop Software, Inc..
  17.  
  18. The software, "ImageVice(tm)", is protected by copyright law and
  19. international copyright treaties, as well as other intellectual property
  20. laws. The software, "ImageVice(tm)", is licensed, not sold.
  21.  
  22. BoxTop Software, Inc. grants you, the user, a non-exclusive single user
  23. evaluation license to use this software, "ImageVice(tm)", for the purpose
  24. of evaluation for consideration of purchase. No other uses are permitted
  25. before the software has been purchased and a full license of the software
  26. is granted.

  28. The software, "ImageVice(tm)", is distributed in full function form, with
  29. special evaluation operation, for evaluation purposes only.
  30. "ImageVice(tm)", may be evaluated for a period of no more than 60 days
  31. provided all terms and conditions of this agreement are met. After 60 days
  32. you must destroy all copies of the software, "ImageVice(tm)", in your
  33. possession if you have not purchased full license to continue use of the
  34. software.

  36. You, the user, may not commercially distribute, sub-license, resell, or
  37. otherwise transfer for any consideration, or reproduce for any such
  38. purposes, this software, "ImageVice(tm)", or any modification or derivation
  39. thereof, either alone or in conjunction with any other product or program
  40. without prior written consent of BoxTop Software, Inc. Further, you, the
  41. user may not modify this software, other than for your own internal
  42. business use.

  44. However, this software, "ImageVice(tm)", may be freely distributed in it's
  45. original unmodified evaluation form so long as this notice and all other
  46. documentation is included without alteration or modification of any kind.

  48. BoxTop Software, Inc. specifically grants permission for this software,
  49. "ImageVice(tm)", to be made available in its original, unmodified limited
  50. demonstration form with all accompanying documentation at FTP sites, both
  51. public and private; on CD-ROMs or disks included with published books or
  52. magazines at no additional charge; by commercial on-line services, which
  53. may charge a fee for download time as per their standard terms of service;
  54. from person to person; and by all means of distribution that are not for
  55. commercial or personal profit.

  57. If you would like to distribute this software, "ImageVice(tm)", by any
  58. means not specifically outlined above or license it to be bundled in
  59. registered form with other products please contact BoxTop Software, Inc. to
  60. arrange terms and conditions.

  62. Without prejudice to any other rights, BoxTop Software, Inc. may terminate
  63. this license if you fail to comply with the terms and conditions of this
  64. license. In such event you must immediately destroy all copies of the
  65. software, "ImageVice(tm)", and all of its component parts in your
  66. possession.

  68. This software, "ImageVice(tm)", is the valuable intellectual property of
  69. BoxTop Software, Inc.. You, the user, may not reverse engineer, decompile,
  70. or disassemble the software, "ImageVice(tm)", except to the extent that
  71. such activity is expressly permitted by applicable laws not withstanding
  72. this limitation.

  74. The software, "ImageVice(tm)", is provided with restricted rights. Use,
  75. duplication, or disclosure by the Government is subject to the restrictions
  76. as set forth in the Rights in Technical Data and Computer Software clause
  77. at DFARS 252.227-7013 or the Commercial Computer Software-Restricted Rights
  78. at 48 CFR 52.227-19, as applicable. Manufacturer is: BoxTop Software, Inc.

  81. If you acquired this software, "ImageVice(tm)", in the United States, this
  82. license is governed by the laws of the State of Mississippi. If you
  83. acquired this software, "ImageVice(tm)", in another country, this license
  84. is governed by the laws of the jurisdiction in which the software,
  85. "ImageVice(tm)", was acquired. For the purpose of electronic distribution
  86. over the Internet and other public on-line services the software,
  87. "ImageVice(tm)", will be considered to be acquired at the location of the
  88. originating file server.

  90. This software, "ImageVice(tm)", is provided to the user "AS IS." BoxTop
  91. Software, Inc. makes no warranties, either expressed or implied with
  92. respect to the software, "ImageVice(tm)",  and/or associated materials
  93. supplied to the user, including but not limited to any merchantability,
  94. fitness for a particular purpose or against infringement. BoxTop Software,
  95. Inc. does not warrant that the functions contained in the software will
  96. meet your requirements, or that the operation of the software will be
  97. uninterrupted or error-free, or that defects in the software will be
  98. corrected. Furthermore, BoxTop Software, Inc. does not warrant or make any
  99. representations regarding the use or the result of the use of this software
  100. or any associated documentation in terms of their correctness, accuracy,
  101. reliability, or otherwise. No oral or written information or advice given
  102. by BoxTop software, Inc. or BoxTop Software, Inc. authorized
  103. representatives shall create a warranty or in any way increase the scope of
  104. this warranty.

  106. BoxTop Software, Inc. is not liable for any claims or damages whatsoever,
  107. including property damage, personal injury, intellectual property
  108. infringement, loss of profits, or interruption of business, or for any
  109. special or consequential or incidental damages, however caused, whether
  110. arising out of breach of warranty, contract, tort (including negligence),
  111. strict liability, or otherwise.

  114. reserved. ImageVice(tm) is a Trade Mark of BoxTop Software, Inc., which may
